    The challenge that many smaller and medium size firms face is how to properly navigate what can be complex employment laws, regulations and procedures without falling foul and being an unwitting recipient of an employee claim for compensation for either breach of contract or employment laws and regulations.

    Which is why employee compromise agreements are so prevalent today.

    A Compromise Agreement, also referred to as a Settlement Agreement is a specially drafted legal agreement. It allows an employer to terminate an employee's contract of employment on mutually agreeable financial terms, regardless of the reasons for the termination, with the core condition that the employee will not be able to pursue any employment claim.

    As a legally recognised and binding agreement, where an employee signs an employee compromise agreement, so long as the agreement has been properly formulated to satisfy prescribed conditions set out in section 203 of the Employment Rights Act 1998, an employee will be prohibited from bringing any further claim for compensation in respect of their employment.

    It is in effect a safety net for employers, as it allows them to safely end an employment contract without fear of a future potential employment claim by the employee.

    Some employees will naturally feel suspicious and concerned if their employer hands them a lengthy legal document entitled "without prejudice subject to contract - Compromise Agreement".

    In many cases however, there is nothing for employees to be concerned about and in any event employees are required to obtain the advice of a solicitor who will be able to advise and explain the implications of the agreement and in some instances negotiate a better compromise agreement settlement.

    If an employee has concerns as to the legality of the proposed termination of their contract of employment, or they feel that they are not being treated fairly or not being given a fair deal, speak with a specialist employment law compromise agreement solicitor who will be able to properly advise employees of their rights and their entitlement on termination of employment.

The reason for the proposed termination may also influence the eventual financial package offered.

    With lump-sum severance payments equivalent to up to 6 months pay not unusual, employees may naturally be concerned to know whether this will have any adverse impact on their ability to claim Job Seekers Allowance and other benefits, especially if a prolonged period of unemployment is a real possibility.

    First it needs to be understood that a financial lump-sum package can often be made up of many different components. Put simply however, these can be grouped into contractual and non-contractual payments.

    Contractual payments are those payments that an employee is entitled under the contract of employment, for example, a sum in lieu of notice, unused holiday pay, car allowance and other contractual entitlements as at the date of dismissal.

    Non-contractual payments are such payments made by an employer over and above what an employee is legally entitled to under his or her contract of employment, or what the law says is a minimum entitlement on termination of employment. This element of a lump-sum payment is variously described as compensation for "loss of office", "in recognition of services rendered",   "in recognition for past loyalty" and so forth.

    The distinction between contractual and non-contractual payments is important from a Revenue and Benefits Office stand point.

    Job Seekers Allowance (JSA) is not normally paid during the period of notice. So an employer given a payment in lieu of notice and not required to work that notice period will not be able to claim JSA in that time.

    However, it would be advisable for the employee to sign on at the Job Centre in order to claim NI Contribution Credits during the notice period.

    Another important criteria used by the Benefits Office to establish entitlement to benefits, is the amount of capital a person has at the date of termination of employment. There is a savings threshold of £16,000, above which a person cannot claim "income-based" JSA.

    So, if an employee receives a settlement of £20,000 of which £8,000 is for contractual entitlements including a payment in lieu of notice, for the purpose of calculating capital savings, the Benefits Office usually discounts the contractual payments, which leaves in this example £12,000.

    This is below the £16,000 threshold for income-based JSA, but as explained, an employee would not be able to claim JSA during their notice period.

    Contribution-based JSA on the other hand is not affected by most lump sum payments and the £16,000 capital limit will not therefore apply.

    Whether an employee is entitled to contribution-based JSA will depend on whether a person has contributed, during their working life, a sufficient amount of National Insurance contribution.

    National insurance is deducted at source every month from an employee's salary. So for more information on this, it is advisable to contact either the Citizens Advice Bureau or your local Benefits Office.

    JSA is not available to employees that leave their employment "voluntarily".

    Fortunately, the Revenue and the Benefits Office do not currently interpret a Compromise Agreement dismissal as a "voluntary" occurrence. Which means that lump-sum payments packaged within an employment compromise agreement do not affect one's entitlement to claim JSA.

    The rules and regulations on entitlement to benefits constantly change. Employees are therefore advised to contact their local Benefits Office or speak with a Job Centre adviser for an up-to-date position.

    There is a good reason for this, which we explain below. And equally, for the reasons we shall shortly explain, it is important for employees to understand their entitled on redundancy and how to identify if they have grounds to negotiate a better redundancy compromise agreement.

    A compromise agreement is a specifically drafted legal contract or agreement that is designed to end a contract of employment between an employer and an employee.

    The main purpose of the agreement is to bring to an end a contract of employment with an agreed financial package that is offered to the employee in exchange for which the employee promises not be bring any employment related claims against the employer. Once that agreement is signed, the employee cannot later go back to regnotiate or seek further compensation in an employment tribunal or court of law.

    A compromise agreement on redundancy is the only legally binding agreement that an employer can safely rely on to ensure that they are not the unwitting recipient of an employment tribunal claim or a claim in the civil courts of law.

    However, for compromise agreements to be legally binding and enforceable, the law prescribes certain conditions, the main condition being that an employee obtain independent legal advice.

    Faced with the prospect of redundancy and the uncertainty of knowing how long it will take to find alternative employment, an employee ought to have some understanding of his or her entitlement on redundancy and whether there is room for negotiating a better redundancy deal.

    As a starting point, all employees are entitled to notice of termination of employment, except in situations of gross misconduct in which case an immediate dismissal is permitted.

    To determine the length of notice, and therefore pay that an employee is entitled to, there are two sources of reference.

    The first point of reference is what the law or statute says an employee is entitled to.

    And the second, is what an employee's individual contract states as notice period. The employee is entitled to whichever notice period is the greater of the two.

    Statutory notice is calculated by reference to the number of years of service. The law says that an employee is entitled to one week's notice after working for more than one month but less than two years. Thereafter, an employee is entitled to 1 week's notice for every year worked. So two years of continuous employment equates to 2 weeks notice.

    If an employee's contract gives a more generous period of notice, then this will apply in place of the statutory notice period.

    In addition to notice, and perhaps pay in lieu of notice, an employee is also entitled to all other benefits received pursuant to the contract of employment up to the date of dismissal. For example, healthcare cover, car allowance, company car, bonus pay and so forth.

    As with notice, to calculate redundancy pay, one must consider both the statutory position and also the employee's contractual rights.

    If a company runs a redundancy scheme, more often than not this will be more generous than the prescribed statutory minimum redundancy that all UK employees are entitled to - assuming that the employer has served the qualifying period of two or more years of continuous employment with their employer.

    Bear in mind also that contractual redundancy packages will usually already include statutory minimum redundancy pay. So any redundancy payments over and above the statutory minimum are considered "enhanced payments".

    So, in order therefore to assess the correct amount of redundancy pay, one must first ascertain whether the employer has a redundancy program in place. If the employer does run such a scheme an employee would need to start here to calculate their redundancy entitlement.

    To calculate the statutory minimum redundancy pay, three factors are taken into consideration. The age of the employee, the length of service of employment (with a maximum 20 years), and the employee's weekly pay up to a maximum of £450 (as at Feb 2013).     What if you employer is only offering you the statutory minimum redundancy pay or a package that is only marginally above this? Under what circumstances can you negotiate better terms?

    If an employee's contract of employment is being terminated "under a cloud" for example, there is an ongoing dispute between the employer and the employee, or where it is believed the employer is unlawfully terminating a contract of employment, in these circumstances, an employee is more likely to have more leverage to negotiate a better redundancy settlement within a redundancy compromise agreement than in cases of straightforward redundancy.

    Ultimately, what you can negotiate very much depends on a number of factors such as your skills at negotiating, whether your employer is open to some flexibility on final pay, and other factors such as mentioned above that may give an employee more persuasion since an employer will also want to avoid potential claims in the future.
